Welcome to Cedar Grove International (“the Platform”, “we”, “our”, or “us”). These Terms & Conditions govern access to and use of the Cedar Grove International website, services, listings, content, and related platforms.  

By accessing or using this Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms & Conditions.  

If you do not agree to these Terms, you must not use the Platform.  

1. PLATFORM PURPOSE  

Cedar Grove International operates a curated property marketing and listing platform that connects approved developers, agencies, landlords, property representatives, buyers, investors, and tenants.  

The Platform is intended solely for property marketing, advertising, informational, and communication purposes.  

Cedar Grove International is not a property owner, real estate developer, conveyancing authority, financial institution, escrow provider, valuation firm, surveying firm, or legal advisory service unless expressly stated otherwise.  

2. ELIGIBILITY  

Only approved agencies, developers, property owners, or authorized representatives that have completed onboarding, KYC verification, contractual approval, and account activation by Cedar Grove International may publish listings on the Platform.  

Public self-registration for listing publication is not permitted unless expressly authorized by Cedar Grove International.  

You represent and warrant that:  

• you have authority to publish the listing(s);  

• all information submitted is lawful and accurate;  

• you possess all necessary permissions and rights relating to the content submitted;  

• your use of the Platform complies with applicable laws and regulations.  

3. ACCOUNT APPROVAL & VERIFICATION  

All accounts are subject to manual review, verification, approval, suspension, or rejection at the sole discretion of Cedar Grove International.  

Cedar Grove International may request:  

• identification documents;  

• company registration documents;  

• agency licenses;  

• authorization letters;  

• contracts;  

• proof of ownership or representation;  

• or any additional information reasonably required for verification.  

Approval of an account or partner does not constitute legal certification, endorsement, guarantee, or verification of ownership, legality, or investment suitability of any property.  

4. PROPERTY LISTINGS  

All property listings, descriptions, images, pricing, measurements, availability information, approvals, legal representations, and related content are provided by the respective advertiser, developer, agency, owner, or authorized representative.  

While Cedar Grove International may conduct onboarding and verification procedures for partners, we do not independently verify:  

• ownership or title validity;  

• legal status;  

• zoning compliance;  

• regulatory approvals;  

• tax compliance;  

• absence of disputes;  

• encumbrances;  

• court matters;  

• inheritance claims;  

• financing or collateral status;  

• or investment suitability.  

Users are solely responsible for conducting independent legal, financial, technical, and property due diligence before entering into any transaction.  

5. NO PAYMENT PROCESSING  

Cedar Grove International does not receive, hold, process, facilitate, or guarantee:  

• deposits;  

• purchase funds;  

• rental payments;  

• escrow services;  

• commissions between third parties;  

• or any other financial transaction between users.  

All financial arrangements and transactions occur independently between the relevant parties.  

6. COMMISSIONS & COMMERCIAL ARRANGEMENTS  

Cedar Grove International may enter into separate marketing, promotional, referral, agency, or commission-based agreements with developers, agencies, or property representatives.  

Such agreements are governed independently and do not alter these Terms unless expressly stated in writing.  

7. USER RESPONSIBILITIES  

Users agree:  

• not to submit false, misleading, fraudulent, defamatory, or unlawful content;  

• not to impersonate any person or entity;  

• not to infringe intellectual property rights;  

• not to misuse the Platform;  

• not to attempt unauthorized access to systems or accounts;  

• not to distribute malware, spam, or harmful code;  

• not to engage in unlawful, deceptive, or abusive conduct.  

Users remain fully responsible for all content submitted to the Platform.  

8. CONTENT RIGHTS  

By submitting content to the Platform, you grant Cedar Grove International a non-exclusive, worldwide, royalty-free license to use, reproduce, publish, display, promote, distribute, and market such content in connection with the Platform and related promotional activities.  

You represent that you possess all necessary rights and permissions relating to submitted content.  

9. PLATFORM RIGHTS  

Cedar Grove International reserves the right, at its sole discretion, to:  

• approve or reject listings;  

• edit listing formatting;  

• remove or suspend listings;  

• suspend or terminate accounts;  

• investigate suspicious activity;  

• cooperate with regulators and law enforcement;  

• retain logs and records;  

• disclose information where legally required;  

• restrict access to the Platform.  

Such actions may occur without prior notice where reasonably necessary.  

10. THIRD-PARTY LINKS & CONTENT  

The Platform may contain links to third-party websites, services, maps, advertisements, or resources.  

Cedar Grove International does not control or endorse third-party content and accepts no responsibility for any loss or damage arising from reliance upon such services.  

11. DISCLAIMER OF WARRANTIES  

The Platform and all content are provided on an “as is” and “as available” basis.  

To the fullest extent permitted by applicable law, Cedar Grove International disclaims all warranties, whether express or implied, including but not limited to:  

• accuracy;  

• completeness;  

• reliability;  

• merchantability;  

• fitness for a particular purpose;  

• uninterrupted availability;  

• or non-infringement.  

12. LIMITATION OF LIABILITY  

To the fullest extent permitted by applicable law, Cedar Grove International, its directors, officers, employees, affiliates, agents, and partners shall not be liable for:  

• indirect or consequential losses;  

• property disputes;  

• failed transactions;  

• inaccurate listings;  

• fraud by third parties;  

• financial losses;  

• investment losses;  

• legal disputes;  

• service interruptions;  

• or damages arising from use of the Platform.  

Use of the Platform is entirely at the user’s own risk.  

13. INDEMNITY  

You agree to indemnify and hold harmless Cedar Grove International, its directors, officers, employees, and affiliates from any claims, liabilities, damages, costs, or expenses arising from:  

• your use of the Platform;  

• your listings or content;  

• your breach of these Terms;  

• or your violation of applicable laws or third-party rights.  

14. PRIVACY  

Use of the Platform is also governed by our Privacy Policy, Cookie Policy, and related policies published on the Platform.  

15. INTELLECTUAL PROPERTY  

All Platform branding, logos, software, design, text, graphics, trademarks, and proprietary materials belong to Cedar Grove International or its licensors and may not be copied, reproduced, or used without authorization.  

16. CROSS-BORDER USE  

Users are responsible for ensuring compliance with laws applicable in their jurisdictions.  

Property laws, foreign ownership restrictions, taxation requirements, and transaction procedures vary across jurisdictions and users are advised to seek independent professional advice where necessary.  

17. TERMINATION  

Cedar Grove International may suspend or terminate access to the Platform at any time, with or without notice, where reasonably necessary to protect the Platform, users, legal compliance, or business interests.  

18. GOVERNING LAW  

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of Kenya.  

Any disputes arising from use of the Platform shall be subject to the jurisdiction of the courts of Kenya unless otherwise required by applicable law.  

19. CHANGES TO THESE TERMS  

Cedar Grove International reserves the right to modify these Terms at any time.  

Updated versions shall become effective upon publication on the Platform.  

Continued use of the Platform constitutes acceptance of the updated Terms.
